Terms of Service

1. Scope of services

MLCCAI, Inc. may support business users with MLCC product-data review, availability review, supplier-data routing, RFQ intake, quotation preparation, datasheet request support, sample feasibility review, and logistics follow-up. Services are provided for business-to-business procurement, sourcing, and engineering review.

2. RFQ submission and review

An RFQ submission is a request for review only. It is not an order, acceptance, reservation of inventory, allocation, or binding commercial commitment. RFQ intake, quotation preparation, datasheet request support, sample coordination, and logistics follow-up are provided as sourcing-support services. MLCCAI, Inc. may request additional information before providing a response, including complete part numbers, specifications, quantity, target delivery date, approved vendor list, packaging, compliance requirements, end application, and shipping destination.

3. Quotations and order acceptance

Quotations are valid only for the period stated in the quotation. Prices, availability, lead times, shipment schedules, supplier availability, and documentation are subject to change until a written order confirmation or other written acceptance is issued. Any quotation, shipment, lead time, allocation, or order acceptance is subject to written confirmation and applicable transaction terms. No purchase order is accepted unless confirmed in writing by an authorized representative.

For MLCCAI-branded products offered through mlccs.com, MLCCAI, Inc. handles customer-facing quotations, customer contracts, order acceptance, invoicing, payment collection, and customer support unless otherwise expressly stated in a written transaction document. NextGen Components, Inc. is a separate legal entity and an affiliated company of MLCCAI, Inc. and may provide upstream procurement, supplier coordination, authorized support-path access where applicable, logistics coordination, and fulfillment support to MLCCAI, Inc.

4. Product data, datasheets, and technical review

Product data, descriptions, product-feature classifications, datasheet references, cross‑reference notes, and supplier comparisons are provided for part identification, technical review, and RFQ preparation only. A search result or Request action is not a quotation, engineering approval, manufacturer confirmation, guarantee that a datasheet will be supplied, or representation of inventory or availability. The customer remains responsible for final component selection, engineering approval, product qualification, safety review, regulatory compliance, and fitness for the intended application.

5. Supplier-data routing status

Supplier references on mlccs.com may include authorized support paths held by NextGen Components, Inc., MLCCAI brand product data, data-supported review channels, RFQ review channels, or other sourcing routes. NextGen Components, Inc. is a separate legal entity and an affiliated company of MLCCAI, Inc. Authorized support-path references for AILLEN, CCTC, and EYANG, where shown, refer only to support paths held by NextGen Components, Inc. Any supplier-data routing status may change and should be confirmed for each requirement. A supplier listing does not guarantee availability, pricing, order acceptance, allocation, or manufacturer approval for any specific customer application unless expressly stated in writing for a specific transaction.

6. Samples and production quantities

Sample support and production-quantity support are subject to availability, supplier approval, minimum order quantity, standard package quantity, lead time, export requirements, and applicable documentation. Sample suitability does not guarantee production approval or long-term supply.

7. Payment, taxes, and shipping

Payment terms, freight terms, taxes, duties, customs charges, packaging, and delivery obligations are governed by the applicable quotation, invoice, order confirmation, or written commercial agreement. Unless otherwise stated in writing, customers are responsible for applicable taxes, import charges, duties, brokerage fees, and compliance with destination-country requirements.

8. Cancellations, returns, and NCNR items

Cancellations, reschedules, returns, and exchanges are subject to written approval. Certain products, special orders, factory orders, custom requirements, sample arrangements, and limited-availability items may be non-cancelable and non-returnable (“NCNR”) when stated in a quotation, invoice, supplier condition, or written order confirmation.

9. Export control and restricted use

Products, technical data, quotations, documentation, and shipments may be subject to U.S. export-control, sanctions, import, and end-use restrictions. Customers are responsible for confirming that their purchase, shipment destination, end user, and end use comply with applicable laws and restrictions. You agree not to use products, documentation, or services in violation of applicable laws or for prohibited end uses.

10. Warranty limitations

MLCCAI is a brand owned by MLCCAI, Inc. MLCCAI-branded products may be manufactured by qualified third-party manufacturing partners. MLCCAI, Inc. does not represent that it directly manufactures the products listed under the MLCCAI brand. MLCCAI, Inc. does not guarantee product availability, pricing, lead time, substitute approval, manufacturer acceptance, or design suitability unless expressly stated in a written quotation or transaction document. Manufacturer warranties, if any, are governed by the applicable manufacturer documentation or supplier terms. MLCCAI, Inc. disclaims implied warranties to the maximum extent permitted by law.

11. Limitation of liability

To the maximum extent permitted by law, MLCCAI, Inc. will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of production, line-down costs, engineering redesign, substitute procurement, lost profits, or business interruption.

12. Force majeure

MLCCAI, Inc. will not be responsible for delay or failure caused by events beyond reasonable control, including supplier disruption, logistics delays, customs delay, natural disaster, labor issue, cyber incident, government action, war, pandemic, shortage, or force majeure event affecting any part of the supply chain.

13. Governing law

These Terms of Service are governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-law principles.
